Mode of Sales and Terms & Conditions



The method of sales of Gateway ERP software solutions through the website and the terms and conditions of transaction is described here to be read and understood clearly before buying the user license and/or subscribing the support service.

  1. Terminology:
    1. Buyer:  The Company or a person who buy the software user license.
    2. Company:   GW Innovations Private Limited, Located at Thrissur, Kerala, India.
    3. Software: Gateway ERP solution made as industry specific BPM enabled ERP software installed at buyer’s premises or on managed cloud.
    4. Software user license : License to use the Software.
    5. Website :  www.gatewayerp.com
    6.   Support team: Team assigned for online training and guidance support of GW Innovations Private limited.
    7. Buyer:  The Company or a person who buy the software user license
    8. Buyer:  The Company or a person who buy the software user license
  2. Mode of Sales:
    1. Web site is having function to enquire or request a demonstration of the software
    2. Our support centre will give a call / email / Whatsapp to the buyer for scheduling a demo.
    3. Demonstration will be online to the buyer and their team members if any.
    4. A proposal with deliverable detail and terms and conditions will be given, if the buyer is interested.
    5. Further clarifications will be addressed through phone / mail / online / WhatsApp.
    6. Once the buyer is ready to go ahead, the Company will register the buyer as a client and give the username and password.
    7. Buyer has to login and the below terms and conditions shall be agreed to generate an invoice towards the payment.
    8. Once the invoice is generated by the website, buyer can see the invoice details, print it with the terms and conditions they acknowledged for their reference.
    9. This invoice can be paid online then and there.  In case the license is paid on a one year monthly instalment, every month the invoice will be generated by the system for payment.
    10. If the payment is due and not paid within 10 days, the system will block the use of software until it is paid.
    11. Once the first payment is done, the support team will do the installation of software in the server of the buyer (on premises or managed cloud).

    13. Training will be conducted online by the company
    14. Go live support will be given online by the company
    15.   After go live support, if any will be done by the support team
    16. Support is free for the first one year from the date of purchase of the software user license.
    17.   After one year of free support, the buyer has to opt for an annual maintenance contract for support.
  3. Terms and Conditions:
    1. Software licensing
      1. Software is licensed solely to use by the buyer for their business process automation and not permitted for sale, copying, commercial sharing, rent, sub license or transfer to any third party under this agreement and may not be used contrary to legality.
      2. This software is an executable code version to use within the designated users of the licensee for internal electronic data processing.
      3. Buyer is hereby agreed that this software will not decompile, alter, reengineer and / or change any nomenclature of the contents.
      4. This agreement is restricted to provide software, including third party software if any is used to run the application, training, and support and not any hardware, servers and/or related infrastructure to run this software.
    2. Installation
      1. Installation will be done on a server provided by the buyer either on premises or at Cloud Server. Other clients will be connected to the main server through the internet or local network using google chrome web browser. Database will be located in the data server.
      2. Buyer shall provide
        1. Infrastructure and hardware to have a smooth run, as per the specification provided by the first party.
        2. While doing the implementation, the Company shall get remote access to the server for support.
        3. Installation and training is taking place online. Buyer shall make sure adequate arrangements for access to buyer’s professionals as per the schedule and other reasonable services.
    3. Training
      1. Training shall be provided by the Company to the buyer as per the training procedure.
        1. After uploading the legacy data in the database, a copy of this database is used for training purposes.
        2. As per the user role, training on the concerned area will be provided in an online classroom environment.
      2. Buyer shall provide a training facility as required.
      3. Training will be provided as per the user rights, given by the buyer.
      4. Functionality will tested with sample cases by buyer prior to training.
      5. Each and every form shall be entered at least 5 times with all options by the users as a part of practice before going on live.
      6. In case additional training is required after the scheduled training, this will be conducted in a day in an online classroom environment with all the queries noted and communicated to the company in writing.
    4. Support level
      1. Support will be on line, telephonic and email.
      2. Technical support is available on government working days of the buyer’s between 9.00 AM to 5.00 PM. In case of emergency after the office hours company will provide contact person/s and number/s.
      3. Issues will be addressed
        1. Priority 1: Complete stoppage of working: Company will acknowledge immediately from the time that the call was logged and provide a solution within four working hours.
        2. Priority 2: Operation can continue in a restricted way: Company will acknowledge within 2 working hours from the time of call logged in and shall provide solution within 8 working hours.
        3. Priority 3:  Minor issues and the impact in inconvenience: First party will acknowledge within 3 working hours from the time of call logged in and shall provide a solution within 5 working days.
        4. In case of modification initiated by the buyer within 3 working days will be assessed and given in writing the time frame to do the job with additional cost if any.
      4. Buyer shall give online access to the server and user computers, as and when support is required.
      5. Support covers, any bug fixing in the software, any clarifications and queries after the training.
      6. Support services will not cover any changes in installation location, transfer of server and additional customization after completion of implementation (GO-LIVE).
      7. Support will be done for 12 months from the date software purchase.
      8. After the free support period, buyer has to opt for annual maintenance contract with first party.
    5. Cancellation and refund
      1. No cancellation will be allowed once the license is purchased, hence no refund is provided for the payment made by the buyer as per invoice.
    6. Confidentiality
      1. Not to disclose any confidential information of the company regarding the Software, software codes and the documentation provided by the company.
      2. Company shall not disclose any confidential information of the Buyer.
      3. Not to disclose terms of this agreement.
      4. Not to disclose the best practices and methodologies extended to the buyer by the company during the installation and implementation process for the betterment of the buyer.
      5. Buyer shall take reasonable measures to keep confidentiality on the information passed to the employee, consultant or any other agency who is having internal access to the system.
      6. Database is the property of buyer, all passwords will be supplied.
    7. Liability clause
      1. Processed and saved data is stored in the buyer’s hardware system and adequate back up has to be taken by the buyer. Any data loss is not the responsibility of the company unless proven to be a defect or bug in the software.
    8. Jurisdiction
      1. In case of dispute will be settled as per Indian courts of law and in Indian Jurisdiction
    9. Multiple currency
      1. The price and currency agreed by the buyer, will be charged to the card while doing the payment and reflected in the transaction receipt.
        Company accepts payment by PAYPAL, Visa or Master Debit and credit cards in USD for the software and support services.
    10. Office foreign asset control sanctioned countries
      1. Company will not do any business, trade or commerce activities with services with individuals, or companies that are owned, controlled by, or which are acting for or on behalf of office foreign assets control sanctioned countries, or any individuals, group or organisation declared terrorist, narcotic traffickers.
    11. Representation
      1. If the buyer is not a registered company, the individual should be more the legal age of 18 years to buy our product and services
    12. Buyer account with us
      1. Buyer is solely responsible to manage their account with us including registration and login credentials and other information given to the buyer by the company.
    13. Links and search results
      1. The Site may automatically produce search results that reference and/or link to third party sites throughout the World Wide Web.  Company has no control over these sites or the content within them. Company does not guarantee, represent or warrant that the content contained in the sites is accurate, legal and/or inoffensive. Company does not endorse the content of any third party site, nor does it make any representation or warranty about these sites, including that they will not contain viruses or otherwise impact your computer. By using the Site to search for or link to another site, you agree and understand that you may not make any claim against the Company for any damages or losses, whatsoever, resulting from your use of the Site to obtain search results or to link to another site.     14. Copyright
      1. Company reserves all the copyrights of the deliverables and site. Any unlawful activity that happens from the buyer will end up in terminating the user privileges.
    15. Intellectual property right
      1. Company reserves all intellectual property rights of the software delivered to use and the contents of the site and any materials provided by the company.
    16. Disclaimer
      1.  The Service is provided in order to facilitate access to view and pay online. The G W Innovations or the Payment Service Provider(s) do not make any representation of any kind, express or implied, as to the operation of the Payment Gateway other than what is specified in the Website for this purpose. By accepting/ agreeing to these Terms and Conditions, the User expressly agrees that his/ her use of the aforesaid online payment Service is entirely at own risk and responsibility of the User.
    17. Privacy
      1. G W Innovations respects and protects the privacy of the individuals that access the information and use the services provided through them. Individually identifiable information about the Applicant is not willfully disclosed to any third party without first receiving the Applicant’s permission, as covered in this Privacy Policy.
        The information provided by the user on this website shall be kept confidential and shall not be shared with anyone. The DATA will neither be made accessible to third parties nor transferred in any form or manner unless required by law.
    18. Variations to the Terms and Conditions:
      1. We reserve the right to decline the acceptance of an online payment if your account is in default for any reason. G W Innovations may also make additions/deletions/alteration to the services offered, at its sole discretion. We reserve the right to withdraw the service at any time at its discretion. We retain the right to change the terms and conditions for Online Payments, without any prior notice.
